Terry Pritchard, Co-Chair of Bryan Cave Leighton Paisner

Therese Pritchard serves as Co-Chair of Bryan Cave Leighton Paisner. She previously served on the firm’s Executive and Compensation Committees, as the leader of the White Collar, Securities Enforcement and Litigation Client Service Group and as Asia Coordinator, overseeing the firm's offices in Shanghai and Hong Kong. She has concentrated on securities and financial institutions enforcement and litigation for more than 30 years. Ms. Pritchard has represented major public companies, banks, accounting firms, broker-dealers, investment advisors, mutual funds, hedge funds and individuals under investigation by the SEC, the DOJ, FINRA and the federal banking agencies. She also has extensive experience conducting independent investigations on behalf of, and providing counsel to boards of directors and audit committees of public companies. Recently, Ms. Pritchard has handled numerous internal and audit committee investigations involving possible violations of the Foreign Corrupt Practices Act and has advised public companies and their directors on whether to self-report the results of those investigations to the government. She has also handled SEC, Board and Audit Committee investigations involving revenue recognition, the adequacy of disclosures, stock option backdating, off balance sheet financing, undisclosed compensation/perquisites to executive officers, related party transactions, acquisitions and restructuring issues and the timing and adequacy of reserves. She has handled numerous insider trading investigations as well as broker-dealer and fund matters involving, among others, manipulative trading, valuation, allocation, suitability and supervision issues. Ms. Pritchard’s areas of practice also include insider trading, disclosure questions, delisting proceedings and broker-dealer regulation.

Ms. Pritchard was with the Division of Enforcement of the Securities and Exchange Commission from 1982 to 1991. She served as an assistant director from 1986 on and handled many of its most notable Wall Street cases. In 1985, she received the Manuel Cohen Outstanding Younger Lawyer Award in recognition of her achievements at the SEC. From 1991 to 1994, she was deputy chief counsel of the Office of Thrift Supervision, in charge of its Washington, D.C. enforcement program, directing and managing many high-profile fraud cases brought by the government resulting from the savings and loan crisis. Ms. Pritchard then co-managed the Professional Liability Section of the Resolution Trust Corporation from 1994 to 1995, where she directed and resolved more than 300 cases against officers, directors and other professionals associated with failed savings and loan institutions.

 In October 2013, Ms. Pritchard was honored by Securities Docket as being among the top 40 securities enforcement defense attorneys in the industry in its inaugural "Enforcement 40." She was also named one of the Best Lawyers in America® (2008-2014) by various publications, including the Washington Post, Washingtonian and Woodward/White, Inc.’s The Best Lawyers in America.  

 Ms. Pritchard served on the firm's Executive Committee from 2005 to 2011. She also served for several years as the chair of the Securities Enforcement Subcommittee of the Business Law Section of the American Bar Association. Ms. Pritchard is a frequent speaker on securities law and enforcement matters at continuing legal education programs.


Lisa Mayhew, Co-Chair of Bryan Cave Leighton Paisner

In 2018 Lisa Mayhew became Co-Chair of Bryan Cave Leighton Paisner with Therese Pritchard. Previous to this, Ms. Mayhew was Berwin Leighton Paisner’s Managing Partner. In 2017, she was named as one of only two ‘eminent practitioners' in employment law in Chambers & Partners directory. Ranked as a ‘leading individual’ in employment law since 2012 by legal directory Legal 500, Ms. Mayhew is known for successfully defending employers in large and complex employment disputes.

Her work has typically been at Boardroom level, for example acting on executive hires and severances, discrimination proceedings, cases of whistleblowing, or on major corporate transformation initiatives. Work of this nature is always highly sensitive, has significant reputational ramifications and typically involves substantial, 7-figure sums. Ms. Mayhew’s clients have included eight of the world’s largest banks plus other FTSE-level or large private companies in sectors such as retail and energy. She completed in-house secondments at Merrill Lynch and John Lewis Partnership.

While keeping clients out of court is often the first priority, Ms. Mayhew has represented clients in the High Court or at Employment Tribunals over 50 times. In all cases, she has focused not just on winning, but in achieving the right outcomes for the client and protecting their reputation, based upon an appreciation of the publicity and regulatory aspects of each case. A regular guest speaker at industry events and author of multiple published articles, Ms. Mayhew also co-wrote a book published by Sweet & Maxwell on “Discrimination: Remedies and Quantum.”

Prior to that, she was Vice President of the Wolters Kluwer Law & Business Legal Professional Group, where she helped drive strong growth through the introduction of new electronic products and integrated online libraries. Formerly, Ms. Caywood served as Publisher of CCH's Business and Finance group, and as Director of sales and marketing, with management responsibility for sales, marketing and the launch of the unit's Internet products. She joined CCH in 1992 as a product manager and orchestrated the launch of the company's first CD-ROM products. Stacey Caywood earned an MBA from Northwestern University, J.L. Kellogg School of Management, Chicago, and holds a bachelor's degree from Tufts University, Medford, MA.
